IMPORTANT — READ BEFORE USING THIS APPLICATION

This End User License Agreement ("Agreement") is a legal agreement between you ("You" or "User") and Order of Mithras, Inc. ("Licensor," "we," "us," or "our") for the use of the Mithras Mobile application ("App") made available through the Apple App Store.

By downloading, installing, or using the App, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms. If you do not agree to these terms, do not download or use the App.

1. License Grant

Subject to the terms of this Agreement and your continued membership in good standing with the Order of Mithras, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install one (1) copy of the App on any Apple-branded device that you own or control
  • Use the App solely for purposes related to your membership in the Order of Mithras and in accordance with this Agreement and the App Store Terms of Service

2. License Restrictions

You may not:

  • Copy, modify, or distribute the App or any portion of it
  • Reverse engineer, disassemble, decompile, or attempt to derive the source code of the App
  • Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the App
  • Rent, lease, lend, sell, sublicense, or otherwise transfer the App or your rights under this Agreement to any third party
  • Use the App for any commercial purpose or in any manner not expressly permitted by this Agreement
  • Use the App in any way that violates applicable law or the bylaws of the Order of Mithras

3. Membership Requirement and Eligibility

The App is exclusively for members of the Order of Mithras in good standing. Eligibility is governed by the bylaws of the Order of Mithras. Access to the App is contingent upon:

  • Active membership status as determined by the Secretary
  • Compliance with these terms and all policies incorporated by reference
  • Payment of annual dues where applicable

Your license to use the App terminates automatically and without notice if your membership is terminated, suspended, or lapses. Upon termination, you must delete the App from all your devices.

4. Ownership and Intellectual Property

The App and all content within it — including but not limited to the Order of Mithras name, crest and logo, software code, design, text, graphics, and member data — are the property of Order of Mithras, Inc. or its licensors and are protected by United States copyright, trademark, and other intellectual property laws.

This Agreement does not transfer any ownership interest in the App to you. You acquire only the limited usage rights expressly set forth in Section 1.

5. Member Data and Privacy

Your use of the App involves the collection and processing of personal data as described in our Privacy Policy (orderofmithras.com/legal/privacy). By using the App, you consent to the collection and use of your data as described therein. The Privacy Policy is incorporated into this Agreement by reference.

6. User Content

If you submit any content through the App (including profile photos, nomination submissions, or guest invitation information), you represent that you have the right to submit such content and grant the Licensor the rights described in the Privacy Policy and Photo and Likeness Policy. You are solely responsible for any content you submit.

7. Updates and Maintenance

The Licensor may from time to time develop updates, patches, or new versions of the App. Updates may be delivered automatically through the App Store or may require manual installation. Continued use of the App following an update constitutes acceptance of any changes to the App's functionality. The Licensor reserves the right to discontinue the App or any feature thereof at any time.

8. Third-Party Services

The App uses third-party services including Google Firebase, PayPal, Twilio, and Expo. Your use of these services is subject to their respective terms and privacy policies. The Licensor is not responsible for the practices or content of any third-party service.

The App is downloaded through the Apple App Store. Your use of the App Store is governed by Apple's Media Services Terms and Conditions. The Licensor is not responsible for the App Store or its terms.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

THE LICENSOR DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR, ITS OFFICERS, MEMBERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE APP, EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE LICENSOR'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT OF ANNUAL DUES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Order of Mithras, Inc. and its officers, members, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App in violation of this Agreement; (b) your violation of any applicable law; or (c) any content you submit through the App.

12. Apple as Third-Party Beneficiary

You acknowledge and agree that Apple Inc. and its subsidiaries ("Apple") are third-party beneficiaries of this Agreement, and that upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

You also acknowledge that:

  • This Agreement is between you and the Licensor only, and not with Apple
  • The Licensor, not Apple, is solely responsible for the App and its content
  • Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the App
  • In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App
  • Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App
  • In the event of any third-party claim that the App or your possession and use of it infringes that third party's intellectual property rights, the Licensor (not Apple) will be solely responsible for the investigation, defense, settlement, and discharge of any such claim
  • Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance, will have the right to enforce this Agreement against you

13. Governing Law

This Agreement is governed by the laws of the State of Mississippi, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in Harrison County, Mississippi.

Notwithstanding the foregoing, if you are a consumer in a jurisdiction that requires a different governing law, that jurisdiction's mandatory consumer protection laws may apply to the extent required.

14. Termination

This Agreement is effective until terminated. Your rights under this Agreement terminate automatically and without notice if you breach any term of this Agreement or if your membership in the Order of Mithras is terminated for any reason. Upon termination, you must cease all use of the App and delete it from all your devices. Sections 4, 9, 10, 11, 12, and 13 survive termination.

The Licensor may terminate this Agreement at any time by deactivating your account or discontinuing the App.

15. Changes to This Agreement

The Licensor reserves the right to modify this Agreement at any time. Material changes will be communicated through the App. Continued use of the App following notice of changes constitutes acceptance of the updated Agreement.

16. Entire Agreement

This Agreement, together with the Privacy Policy, Terms of Service, and all other policies incorporated by reference, constitutes the entire agreement between you and the Licensor with respect to the App and supersedes all prior agreements or understandings relating to the same subject matter.
