1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Mithras Mobile application ("App") and the website at orderofmithras.com ("Site"), operated by Order of Mithras, Inc. ("the Organization," "we," "us," or "our").

By creating an account, logging in, or using the App or Site in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App or Site.

These Terms should be read together with our Privacy Policy, Cookie Policy, SMS Messaging Terms, Payment and Dues Policy, Photo and Likeness Policy, and Member Directory Acceptable Use Policy, all of which are incorporated herein by reference.

2. Eligibility and Account Access

2.1 Membership Requirement

Access to the App is restricted to current members of the Order of Mithras in good standing. Membership eligibility is governed by the bylaws of the Order of Mithras, which require primary residence within the corporate limits of the City of Biloxi, Mississippi, or primary employment within those limits, for a minimum of one continuous year prior to nomination, and a minimum age of 21 years prior to the annual ball.

2.2 Account Creation

Accounts are created by the Secretary of the Organization using official membership records. You do not self-register. Your initial login credentials are provided by the Secretary. You are responsible for setting a secure password upon first login and for keeping your credentials confidential.

2.3 Account Security

You are responsible for all activity that occurs under your account. If you believe your account has been compromised, notify the Secretary immediately at secretary@orderofmithras.com. Do not share your login credentials with any other person.

2.4 Membership Status

Your right to use the App is tied to your active membership status. Accounts may be deactivated upon resignation, termination, or declaration of a vacancy in accordance with the bylaws. Life Members in good standing retain App access. Deactivated accounts lose access immediately upon status change.

3. Permitted Use

You may use the App and Site solely for lawful purposes related to your membership in the Order of Mithras, including:

  • Viewing club information, history, and officer communications
  • Accessing the member directory for personal, non-commercial member-to-member communication
  • Viewing and managing your dues account and submitting payments
  • Submitting guest invitations for the annual ball
  • Nominating candidates for membership
  • Viewing club events, announcements, and the photo gallery
  • Updating your member profile information

4. Prohibited Conduct

You agree not to:

  • Use the App or Site for any unlawful purpose or in violation of these Terms
  • Share your account credentials with any other person
  • Attempt to access any portion of the App for which you are not authorized based on your role
  • Use member directory information for commercial solicitation, unsolicited communications, or any purpose unrelated to legitimate member-to-member club communication
  • Share member contact information, photos, or other content obtained through the App with any person outside the membership without express authorization from the Organization
  • Attempt to reverse engineer, decompile, or extract source code from the App
  • Introduce viruses, malware, or other harmful code into the App or Site
  • Attempt to gain unauthorized access to other members' accounts or financial records
  • Impersonate another member or officer
  • Post or transmit any content through the App that is defamatory, harassing, or threatening toward any member or officer
  • Use the App in any way that could damage, disable, or impair the App or interfere with other members' use

5. Intellectual Property

5.1 Organization Content

The Order of Mithras crest, logo, name, and all content published through the App and Site — including historical documents, photographs, event records, and ball archives — are the property of Order of Mithras, Inc. or are used with permission. No content from the App or Site may be reproduced, distributed, or used outside the context of your membership without written permission from the Organization.

5.2 Member-Submitted Content

By submitting a profile photo or other content to the App, you grant the Organization a non-exclusive, royalty-free license to display that content within the App and Site for purposes related to your membership. You represent that you have the right to submit any content you provide.

5.3 App License

Subject to these Terms, the Organization grants you a limited, non-exclusive, non-transferable, revocable license to use the App on your personal device(s) solely for purposes related to your membership. This license terminates automatically upon deactivation of your account.

6. Payments and Dues

Dues, guest fees, and other financial obligations are governed by the Payment and Dues Policy, incorporated herein by reference. Annual dues are set by the Organization's bylaws and may be adjusted by the Inner Circle. Payment obligations survive termination of these Terms to the extent any amounts were incurred prior to termination.

7. Officer Communications and Notifications

Officers of the Organization may use the App to send announcements, event reminders, and dues notices to the membership. By maintaining an active account, you acknowledge that you may receive such communications. You may manage your notification preferences within the App, subject to the limitations described in the Privacy Policy.

8. Disclaimer of Warranties

THE APP AND SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE ORGANIZATION DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

THE ORGANIZATION MAKES NO WARRANTY REGARDING THE ACCURACY OR COMPLETENESS OF MEMBER DIRECTORY INFORMATION OR ANY OTHER CONTENT WITHIN THE APP.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ORDER OF MITHRAS, INC. AND ITS OFFICERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP OR SITE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PRIVACY, OR FINANCIAL LOSS, EVEN IF THE ORGANIZATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE ORGANIZATION'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT OF ANNUAL DUES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Order of Mithras, Inc. and its officers, members, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App or Site; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.

11. Third-Party Services

The App relies on third-party service providers including Google Firebase, PayPal, Twilio, and Expo. Your use of these services is subject to their respective terms and privacy policies. The Organization is not responsible for the practices of these third-party providers.

12. Termination

The Organization may suspend or terminate your access to the App at any time without notice if you violate these Terms, if your membership is terminated or suspended under the bylaws, or for any other reason the Organization deems appropriate. Upon termination, your license to use the App ceases immediately. Sections 5, 8, 9, 10, 13, and 14 survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the App shall be resolved exclusively in the state or federal courts located in Harrison County, Mississippi. You consent to personal jurisdiction in those courts.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to members through the App. Your continued use of the App following notice of changes constitutes acceptance of the updated Terms. If you do not agree with the updated Terms, you must discontinue use of the App and notify the Secretary.

15. Entire Agreement

These Terms, together with the Privacy Policy and all other policies incorporated by reference, constitute the entire agreement between you and the Organization with respect to your use of the App and Site, and supersede all prior agreements or understandings on that subject.
